This Seller Agreement is between Magnolia Online Auctions (“Magnolia”, “we”, “us”) and each approved seller (“you”) who lists lots on the Magnolia marketplace. By applying to sell, or by listing a lot, you agree to it. Our Terms of Use also apply, and your buyers bid under our Bidder Terms of Sale.

1. Becoming a seller

• Seller accounts are approved by Magnolia. We may ask for identity, business and tax details before approving you, and may decline or withdraw approval at our discretion.
• Keep your store details, address, phone number and pickup details accurate and current.
• You may give staff access to your store. You are responsible for everything done through your account and your staff accounts.

2. Listing lots

• You must own each lot or have the legal right to sell it, and it must be lawful to sell.
• Descriptions and photos must be accurate and honest, including known faults. Our photo and Lot Builder tools can suggest titles and descriptions; you are responsible for checking and correcting everything before a lot goes live.
• You set each lot’s starting price, bid step and any reserve. Lots are numbered within each auction when it goes live, and each lot also keeps a permanent inventory number tied to your seller code.
• Prohibited items: stolen goods; counterfeit or infringing items; recalled or unsafe products; hazardous materials; live animals; [OTHER PROHIBITED ITEMS]. Restricted items such as firearms, ammunition, knives and other weapons may only be listed if you follow all applicable laws for their sale and transfer. 3. Running your auctions

• You group lots into auctions with set opening and closing times. Once an auction is live, you may not withdraw a lot that has bids, or lower its reserve without telling us, except with Magnolia’s agreement.
• No shill bidding. You, your staff, family, friends and anyone acting for you must not bid on your lots. We may cancel affected sales and close your account.
• You must honor every sale that closes at or above its reserve.

4. Pickup and payment

• For each auction, give winners a pickup place, pickup times, instructions and the payment methods you accept. You can save these once as store defaults. Honor the times you publish, and tell winners promptly if anything changes.
• Buyers pay you in person at pickup. Release a lot only after it is paid for in full, including the buyer’s premium and any sales tax, and check the buyer’s order number and ID.
• Mark orders as completed in your dashboard once collected, so payment and pickup records stay accurate.
• If a winner does not pay or collect by your last pickup time, tell us before you relist or dispose of the lot. [CONFIRM the no-show process.]

5. Fees

• Commission: [10]% of the hammer price of each lot sold. [CONFIRM rate and any minimum or flat fee per lot.]
• Buyer’s premium: buyers pay a 13% buyer’s premium on each lot. [CONFIRM: whether the buyer’s premium is kept by Magnolia, kept by you, or shared, and how it is remitted.]
• How fees are paid: because you collect payment at pickup, Magnolia will invoice you for amounts due [after each auction / monthly], payable within [X] days. [CONFIRM payment method and late-payment terms.]

6. Taxes

You are responsible for collecting and remitting any sales tax on your sales, and for your own income taxes and any business licenses your sales require. [CONFIRM against Florida marketplace-facilitator rules with your accountant.]

7. Disputes with buyers

Try to resolve any problem with a buyer fairly and promptly. Magnolia may step in to help, and may cancel a sale or suspend either party where needed to protect the marketplace.

8. Your content

You keep ownership of your photos and descriptions. You give Magnolia a non-exclusive, royalty-free license to display, copy and adapt them to run and promote the marketplace, including after an auction ends (for example in past results).

9. Responsibility and indemnity

You are responsible for your lots, your listings and your dealings with buyers. You agree to cover Magnolia’s losses and reasonable costs arising from your breach of this agreement, your lots, or any claim that a lot was unlawful, unsafe, stolen, counterfeit or misdescribed. To the fullest extent the law allows, Magnolia’s total liability to you is limited to the fees you paid us in the three months before the claim.

10. Suspension and ending this agreement

You may stop selling at any time after your open auctions and pickups are complete. We may suspend or end your selling privileges for a breach of this agreement, buyer complaints, or to protect the marketplace. Fees already owed remain payable.

11. Changes

We may update this agreement. We will give you at least [14] days’ notice of changes to fees. Continuing to list after a change takes effect means you accept it.

12. Governing law

This agreement is governed by the laws of the State of Florida. Any dispute will be handled in the courts of [COUNTY] County, Florida.
